These Terms and Conditions ("Terms") govern your access to and use of the IMUDU Plugin and API service ("Service"), including the WordPress plugin, website, API, and any other related services provided by IMUDU MB ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Service Description

IMUDU is a WordPress WooCommerce AI Chat Assistant that provides an AI-powered chatbot for WooCommerce stores. The Service consists of:

• A WordPress plugin that integrates with WooCommerce sites
• An API service that powers the chatbot functionality
• A web dashboard for managing API keys, viewing analytics, and managing your account

The Service is designed to help WooCommerce store owners increase conversions by providing an AI-powered shop assistant that helps customers find products, answers questions, and provides product recommendations.

2. Account Registration and API Keys

2.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 API Keys

Upon registration, you will receive API keys that allow your WordPress site to communicate with our API service. You are responsible for maintaining the confidentiality of your API keys and for all activities that occur under your account. You agree to:

• Keep your API keys secure and confidential
• Not share your API keys with unauthorized third parties
• Notify us immediately of any unauthorized use of your API keys or account

2.3 API Usage

Your use of our API is subject to rate limits and usage restrictions based on your subscription plan. We reserve the right to monitor API usage and temporarily suspend access if we detect abuse or excessive usage beyond your plan limits.

3. Subscription Plans and Payment

3.1 Subscription Options

We offer various subscription plans with different features and usage limits. Current subscription options and pricing are available on our website.

3.2 Payment Terms

All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method for the subscription fee at the beginning of each billing cycle. Prices are subject to change with notice.

3.3 Free Trial

We may offer a free trial of our paid plans. At the end of the trial period, your account will automatically be charged for the subscription unless you cancel before the trial ends.

3.4 Refunds

Refunds are provided at our discretion. Please contact our support team if you believe you are entitled to a refund.

3.5 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation, you will continue to have access to the Service until the end of your current billing cycle, after which your account will be downgraded to the Free plan or deactivated.

4. User Obligations

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit any material that is defamatory, obscene, invasive of another's privacy, harassing, or otherwise objectionable
• To impersonate or attempt to impersonate IMUDU, an IMUDU employee, another user, or any other person or entity
• To engage in any activity that interferes with or disrupts the Service
• To attempt to probe, scan, or test the vulnerability of the Service or any related system or network

4.2 Content Responsibility

You are responsible for all content that is processed through the Service via your account, including customer queries and responses. You agree not to use the Service to process, store, or transmit content that:

• Infringes on intellectual property rights
• Contains illegal or harmful content
• Violates the privacy or rights of others
• Contains malware, viruses, or other harmful code

4.3 Integration Requirements

When integrating the IMUDU Plugin with your WordPress site, you agree to:

• Use the plugin only on websites you own or have permission to modify
• Keep the plugin updated to the latest version
• Not modify the plugin in a way that compromises security or functionality
• Properly configure the plugin according to our documentation

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service, including all content, features, and functionality, is owned by IMUDU MB and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service, our trademarks, logos, or other intellectual property.

5.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or business purposes.

5.3 Feedback

If you provide feedback, ideas, or suggestions regarding the Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use the Feedback for any purpose without compensation to you.

6. Data and Privacy

6.1 Data Collection

We collect and process data as described in our Privacy Policy. By using the Service, you consent to such processing and you warrant that all data provided by you is accurate.

6.2 Customer Data

You retain all rights to the customer data processed through the Service. You grant us a limited license to use this data solely for the purpose of providing and improving the Service.

6.3 Analytics

We may collect and analyze data about your use of the Service to improve our offerings. This data will be anonymized and aggregated whenever possible.

7. Disclaimers and Limitations of Liability

7.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

7.2 No Guarantee of Results

We do not guarantee that the Service will increase your store's conversions or sales. Results may vary based on various factors including your store's products, customer base, and how you implement the Service.

7.3 AI Limitations

The AI-powered chatbot is based on machine learning models that may occasionally provide inaccurate or inappropriate responses. You are responsible for monitoring the chatbot's performance on your website and reporting any issues to us.

7.4 Limitation of Liability

IN NO EVENT SHALL IMUDU MB, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
• ANY CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless IMUDU MB, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

9. Termination

9.1 Termination by You

You may terminate these Terms at any time by canceling your account and discontinuing use of the Service.

9.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Modifications to the Service and Terms

10.1 Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

10.2 Terms Modifications

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications will constitute your acknowledgment and acceptance of the modified Terms.

11. General Provisions

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Lithuanian Court of Arbitration. The arbitration shall be conducted in Vilnius, Lithuania.

11.3 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

11.4 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and IMUDU MB regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter.

11.5 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of IMUDU MB.
